When the co. in question ceased trading in the ice rink on September 1st that did not mean the world stopped.
Ask any Russell and they will tell you running a business cannot simply turn off the lights and walk away. It will take between 3 – 6 months to wind the company down properly and that means paying creditors and being paid by creditors, the company is not trading – if you have any evidence to the contrary, contact companies house at the end of their financial year and check it out.
Also ask any Rhythm with a five year business plan and they will tell you that with companies turning over in excess of £2 million that at any one time they will probably have creditors totalling between 5 – 10% of turnover thats normal in most businesses.
Maybe now you can begin to understand when confirmation was received from the Council in March that they only had an aspiration to build the sports village, Cardiff Devils Ltd ceased trading immediately and the debts crystallised, it really was as simple as that.
The company could easily have continued to trade with in excess of £100k in creditors but could see no future investment or trading income to continue in the future. As directors of the company they did the absolute right thing, they could have hang on and selected certain creditors etc etc but they didn’t and what they did in company law was correct - ask any Russell.
