If Barrie is not incorporated there is no requirement to have any annual AGM.  So they might have chosen that route.  The OLA cannot "step in" and do anything unless there is a requirement for an MA to be incorporated which I don't think there is. 

If they incorporated, they must have an AGM, but they are only responsible for informing their members and that is a gray area for sure.  Meaning they do not have to advertise their AGM on the Internet or in newspapers.
