PROCEDURES:
1. LOI: Buyer issues LOI.
2. SOFT OFFER: Seller issues SOFT OFFER to Buyer by E-mail with
procedures. Buyer confirms soft offer and issues up-to-date
irrevocable corporate purchase order (ICPO) with full banking
information addressed to the principal seller. ( WILL BE GIVEN
IMMEDIATLY UPON RECEIVING BUYER NCNDA.
3. FCO: Buyer accepts FCO and returns signed to Seller with acceptance
letter, including the following documents: (1) the photocopy of
buyers company certificate of incorporation. (2) Scanned copy of
buyers international passport.
4. POF: Buyer sends bank POF letter to Sellers bank officer.
Sellers bank officer requests a window of time to call buyer's bank
officer, Buyer confirms time. Sellers bank officer calls Buyer's bank
officer and confirms POF.
5. The end seller issues draft contract open for amendments and for
buyers consideration.
Buyer executes the contract with authorized signature and seal,
"highlighting" desired changes and e-mails back to the end seller.
Under the end seller acceptance of the amendment on the draft
contract, seller will call for clause 6, 7, and 8.
6. TTM: within 72 hours of signing electronic draft contract, seller
will confirm to buyer, the actual date for possible table to table
meeting in sellers home office in Saint Petersburg, the Russian
Federation. The meeting will be attended personally by the buyer or
the sole signatory to the contract. This point is negotiable and we
welcome buyers opinion on this issue.
7. The hard copy: Both seller and sellers side and both buyer and
buyers side sign the hard copy of contract, NCNDA including IMFPA in
home office in Saint Petersburg, the Russian Federation. This point is
negotiable and we welcome any opinion from the parties involve on this
issue.
8. POP: seller will present to the buyer the entire partial pop
document during the TTM in the home office in Saint Petersburg, the
Russian Federation. This point is negotiable and we welcome buyers
opinion on this issue.
9. Seller by courier serves sends to buyer all the original shipping
documents such as: B/L charter party agreement, tanker receipts, and
commitment letter from Refinery, SGS report.
10. Buyer issues to seller financial instrument of non- transferable (DLC)
11. Seller issues 2% PB to activate buyers financial instrument (DLC)
12. Shipments commence.
13. Payment will be released to all parties.
